Torchia Communications Inc. (referred to here as "TCI") operates the Web site www.torchiacom.com (referred to here as "the Site"). The use of the Site is conditional on your acceptance of the terms and conditions stated below, which constitute the contract between the person consulting and using the facilities available on the Site (referred to here as "the User") and TCI.

1. TERMS OF USE
1.1. Place of operations for the Site and choice of residence
TCI operates the Site from facilities located in the province of Quebec. TCI makes no claim regarding the use of the Site's elements (referred to here as "Elements") outside Quebec. TCI prohibits access to the Site from areas where legislation reflects that content or use of the Site is illegal. Those who choose to use the Site do so at their won discretion and it is their sole responsibility to comply with all applicable laws. By using the Site, the User recognizes that any claims related to the content or resulting from the use of the Site shall be governed by laws applicable within the province of Quebec, and that only the district courts of Montreal shall be deemed responsible for decisions concerning claims resulting from use of the Site.

1.2. Usage restrictions
The Site's content and all its individual Elements, such as and without exception or restriction, amounts, figures, fonts, data entry fields, images, formats, videos, animated segments and audio material, are the property of TCI and are subject to licences or agreements permitting their use on the Site. No Element of the Site may be copied, reproduced, translated, published, downloaded, displayed, sent or distributed in any way without expressly written consent from TCI or the copyright holder, where applicable.

1.3. Trademarks
Trademarks and logos used or displayed on the Site are trademarks owned by TCI or third parties, whether they are registered or not. Nothing on the Site shall be interpreted in such as way as to permit direct or indirect use of a trademark represented on the Site without prior written permission from the owner of said trademark.

1.4. Information subject to change
Elements are subject to change without notice. TCI can not guarantee the maintenance of Elements offered on the Site, as they are only considered accurate at the moment they are displayed on the User's screen.

2. LIMITATION OF LIABILITY
The Site and its Elements are provided as is, without any implicit or explicit guarantee as to their accuracy. Subject to any public legislation to the contrary, TCI shall be absolved of all liability and makes no guarantees, in particular warranties concerning market quality or fitness for a specific use. Moreover, TCI makes no claim regarding the use, validity, accuracy or reliability of Elements reproduced on the Site, or results obtained from the use of such Elements. Though TCI does everything in its power to ensure that the Site contains no errors, TCI shall be exempt from all liability resulting from any error found on the Site. Under no circumstances shall TCI or its affiliate companies, officers, employees, or representatives be held liable for any damages directly or indirectly related to the use of the Site, including the loss of data or profits related to the use of Site Elements or the inability to use these Elements.

3. USE OF MATERIAL PROVIDED BY THE USER
The User shall recognize that all Elements, information and opinions provided to TCI by the User in any way become the exclusive property of TCI, and that the User releases all rights connected to such Elements. TCI may, without compensating the User, use, reproduce, publish, license, in any way and with any party, Elements provided to TCI. It is forbidden to send TCI Elements that are illegal, defamatory, obscene or against applicable laws. By sending TCI content Elements, the User automatically relinquishes any and all rights to such Elements to TCI, including intellectual property rights. TCI reserves the right to refuse to publish or to withdraw any Element sent to TCI at its discretion, for any reason.

4. HYPERLINKS AND THIRD PARTY SITES
The Site contains hyperlinks to other Web sites. These links are sometimes integrated into the Site at a third party's request. TCI, its employees and representatives have no control over the content and accuracy of information obtained through hyperlinks located in the Site that lead to other Web sites. TCI, its employees and representatives shall be absolved from all liability for any damages resulting from the use of such Web sites and hyperlinks.
